These terms apply to your use of this website and to services provided by Rojoship Digital Marketing Agency ("Rojoship", "we", "us"). By using the website or engaging our services you agree to them. Where a signed proposal or agreement with you says something different, that document takes priority.
1. Use of this website
The content on this website is for general information about our services. It is not professional advice for your specific situation. You agree not to misuse the website, attempt to gain unauthorised access to it, or use it for any unlawful purpose.
2. Proposals and scope
Each engagement begins with a written proposal setting out the services, deliverables, timeline and fees. Work outside the agreed scope will be quoted separately and started only with your approval.
3. Fees and payment
- Fees are as stated in the proposal and are exclusive of GST, which is charged at the applicable rate.
- Monthly retainers are invoiced in advance. Project work may require an advance payment before it begins.
- Invoices are payable within the period stated on them. We may pause work on accounts with overdue payments.
- Advertising spend on platforms such as Google and Meta is separate from our fees and is paid by you directly to the platform unless agreed otherwise in writing.
4. Your responsibilities
You agree to give us timely access to the accounts, information and approvals we need, and to confirm that any material you supply, including logos, images and text, is yours to use or properly licensed. You are responsible for the accuracy of claims made about your own products and services.
5. Results
Search rankings, ad performance and social media reach depend on factors outside our control, including platform algorithms, competition and market conditions. We commit to doing the agreed work to a professional standard, but we do not guarantee specific rankings, traffic, leads or sales.
6. Intellectual property
Once all fees for a project are paid, you own the final deliverables created specifically for you, such as website designs, content and ad creatives. We keep ownership of our own tools, methods and templates, and of any third party software, themes, fonts or stock media, which remain subject to their own licences. We may mention your business name and show completed work in our portfolio unless you ask us in writing not to.
7. Confidentiality
Both parties agree to keep confidential any non-public business information received from the other, and to use it only for the purpose of the engagement.
8. Third party platforms
Our work often relies on services such as Google, Meta, hosting providers and website platforms. We are not responsible for their outages, policy changes, account suspensions or pricing changes, though we will help you respond to them.
9. Termination
Either party may end a monthly engagement with 30 days' written notice, unless the proposal states a different minimum term. Fees for work completed up to the end of the notice period remain payable. On termination we will hand over account access and deliverables that have been paid for.
10. Limitation of liability
To the extent permitted by law, our total liability for any claim relating to our services is limited to the fees you paid us in the three months before the claim arose. We are not liable for indirect or consequential losses, including loss of profit or business.
11. Governing law
These terms are governed by the laws of India. Any dispute will be subject to the exclusive jurisdiction of the courts at Prayagraj, Uttar Pradesh.
12. Changes
We may update these terms from time to time. The version published on this page at the time you engage us will apply to that engagement.
